These Terms & Conditions (“Terms”) govern your access to and use of counterweightcapital.com (the “Site”) and the related services offered by Counterweight Capital LLC (“Counterweight Capital,” “we,” “us,” or “our”). By accessing the Site, submitting a form, calling us, or otherwise using our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Who We Are

Counterweight Capital LLC is a privately held real estate investment company. We work directly with property owners to make cash offers, wholesale contracts, and facilitate real estate transactions. We are not licensed real estate agents or brokers, and we do not represent buyers or sellers as agents unless specifically stated in a separate written agreement.

2. Eligibility

You must be at least 18 years old and legally able to enter into a contract to use the Site or submit a form. By using the Site, you represent and warrant that you meet these requirements.

3. No Offer or Agreement Created by the Site

Information on the Site is provided for general informational purposes only. Nothing on the Site constitutes a binding offer to purchase a property, a solicitation, or a guarantee of any specific price or timeline. Any actual offer or agreement to buy or sell real estate will be made only through a separate, written purchase agreement signed by both parties.

When you submit information about yourself or a property through the Site, by phone, by text, or by email, you represent that:

• The information you provide is accurate and complete to the best of your knowledge;
• You are the owner of the property, or you have authority to discuss the property on the owner’s behalf;
• You understand that your submission does not obligate us to make an offer or purchase the property, and it does not obligate you to accept any offer we may make.

5. Communications & Consent

By providing your phone number and separately opting in through the consent checkboxes on our forms, you agree that Counterweight Capital LLC may contact you by text message, phone call, email, or other electronic means regarding your real estate inquiry and, if you separately consent, for marketing purposes.

Message frequency varies. Message and data rates may apply. Reply STOP to opt out of text messages at any time. Reply HELP for help. 6. Intellectual Property

All content on the Site — including text, graphics, logos, images, videos, and software — is owned by or licensed to Counterweight Capital LLC and is protected by copyright, trademark, and other intellectual property laws. To the fullest extent permitted by law, Counterweight Capital LLC and its owners, officers, members, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages. Our total cumulative liability arising out of or related to the Site shall not exceed one hundred U.S. dollars ($100).

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Bexar County, Texas, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. Changes are effective when posted. Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.

14. Severability & Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Counterweight Capital LLC regarding your use of the Site.
